By accessing the Celestica Supplier Portal, the person or entity granted access ("Supplier") is acknowledging (i) there is a valid Non-Disclosure Agreement (NDA) between Celestica and Supplier and all transmission using the portal are confidential; (ii)that Supplier agrees to comply with Celestica's Quality requirements as specified in the most recent revision of document number QSP0109 ("Quality Requirements and Expectations for Suppliers");(iii) receipt of purchase orders on this portal include the terms and conditions; (iv) forecasts included on this portal are non-binding unless otherwise agreed in writing by the parties; (v) Celestica does not warrant uninterrupted or error free operation of the portal; and (vi) purchase transactions conducted using the portal will be governed by applicable separate written agreements between the parties. In the event there is no such written purchase terms, Celestica's purchase order terms and conditions will govern such transactions.
